# Earnest Money vs Down Payment vs Closing Costs

Earnest money is timing. Down payment is equity. Closing costs are fees and prepaids.

Earnest money, down payment, and closing costs are three different cash lines. Earnest money is a deposit with the purchase contract and is usually credited at closing toward funds you already owe — it is not a fourth pile of cash forever, and it is not automatically extra on top of down payment. Cash timing differs: earnest money first, then remaining down payment and costs at closing, minus the earnest credit. Reserves, if required, stay in your accounts after closing.

What it isEarnest money is a deposit with the purchase contract. In Utah it is typically held and applied at settlement toward funds you already owe. It leaves your account when the REPC is executed. It is not a fourth pile of cash on top of down payment forever, and it is not automatically refundable if you miss a written deadline.Down payment is the equity you bring at purchase (price minus loan amount). ## The REPC can put earnest money at risk

Time is of the essence. Unless the contract says otherwise, performance that references a date is required by 5:00 p.m. Mountain Time on that date. “Days” are calendar days, counted beginning the day after the triggering event (for example, Acceptance). The REPC says performance dates are not binding on lenders, title companies, or appraisers who are not parties, except as they separately agree. A pre-approval letter, AUS findings, or a hoped-for clear-to-close is not a REPC deadline. Written notice under the contract is what preserves a cancel right.
